Job Summary:
We are seeking a highly skilled and experienced attorney to serve as our internal expert in compliance, risk control, corporate law, and contracts, with a profound understanding of both traditional financial regulations and the unique legal complexities of the cryptocurrency and DeFi ecosystems. The ideal candidate will possess a robust background in contracts and corporate law, complemented by proven expertise in compliance and risk management, specifically concerning cryptocurrency assets and collective investment schemes.
Furthermore, the candidate should have an entrepreneurial spirit, the ability to work autonomously, and a willingness to take responsibility for achieving the desired results.
Key Responsibilities:
- Supervise outsourced compliance and risk control service providers, ensuring their activities meet FINMA's stringent requirements for collective asset management and digital asset operations.
- Develop and implement internal legal frameworks and policies to complement outsourced services, ensuring robust compliance and risk management practices.
- Provide expert legal counsel on regulatory interpretations and evolving FINMA guidance related to cryptocurrency assets and collective investment schemes.
- Act as a primary point of contact for legal aspects of FINMA interactions and regulatory inquiries.
- Draft, review, and negotiate a wide array of complex legal agreements and corporate documentation.
- Advise on and independently execute corporate actions, including capital increases, share issuances, equity grants, and other equity-related matters.
- Ensure all corporate activities adhere to relevant Swiss and international regulations and best practices.
- Collaborate with internal teams and external stakeholders to manage complex transactions, including those involving digital assets.
- Stay current on legal developments in the crypto/blockchain sector and proactively address emerging risks and opportunities.
Key Requirements:
- Swiss Law degree (Master of Law) and admission to practice in a relevant jurisdiction.
- 5+ years of experience in corporate law, with a focus on contracts, capital markets, and equity-related matters.
- Extensive experience in the crypto industry and a deep understanding of crypto-specific legal and regulatory issues, including DeFi.
- Demonstrated expertise in complex contract drafting, negotiation, and execution for both traditional and digital asset environments.
- Strong analytical, communication, and stakeholder management skills.

- Ability to work independently and take responsibility for achieving the desired results while also contributing to the success of projects shared by the wider team.
- Fluent in German and English.
