Position Summary
As a Corporate Counsel at Nestlé, you help shape and drive the organization’s corporate and financial governance. You support the business and corporate functions and protect Nestlé’s interests by providing strategic legal counsel, managing legal risks, and ensuring compliance.

A Day in the Life of a Corporate Counsel
- Provide advice on Swiss law as well as legal and regulatory developments
- Prepare legal documentation and corporate acts for Annual General Meetings of Nestlé S.A. and its Swiss-based subsidiaries, and execute resolutions
- Ensure corporate legal housekeeping for Swiss-based Group entities, including preparing Board meetings and maintaining up-to-date constitutional documents
- Provide corporate legal advice to the business and corporate functions
- Advise on, prepare, and execute corporate transactions such as corporate reorganizations and closing of M&A transactions
- Handle the legal relationship with external auditors
- Ensure compliance with SIX Swiss Exchange regulations
- Provide legal advice to the share registry, Investor Relations and Corporate Communications teams
- Interact with Group Accounting & Reporting, and Group Tax departments
- Instruct and monitor external counsel where required
What will make you successful
- Master in Law, bar exam (preferably Swiss, or track-record as an attorney-at-law practicing in Switzerland)
- Excellent understanding of corporate law, corporate governance, and securities regulations
- Demonstrable experience in managing corporate governance matters
- Proficiency in advising on and executing corporate transactions, such as corporate structuring, and other strategic initiatives
- Proven ability in navigating complex regulatory frameworks, including international corporate structures and stock exchange regulations
- Capability to manage multiple projects simultaneously, prioritize tasks, and meet deadlines
- Ability to build and develop relationship with cross functional teams internally and externally
- Excellent written and verbal communication skills
- Proficiency in English and French or German is essential, any additional language is a plus
